Terms of Service

01 โ€” Agreement
Acceptance of terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Signapipe LLC (“Signapipe,” “we,” “us,” or “our”), governing your access to and use of the Signapipe website, client dashboard, and all related services (collectively, the “Services”).

By purchasing our Services, accessing the Signapipe client dashboard, or otherwise using our platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

We reserve the right to update these Terms at any time. Material changes will be communicated to active clients at least 14 days in advance. Continued use of our Services after the effective date of any changes constitutes your acceptance of the updated Terms.

02 โ€” Services
What Signapipe provides

Signapipe provides done-for-you sales infrastructure services for independent LegalShield associates. Depending on your plan, services may include:

Call center setup
Configuration of power dialer, CRM pipelines, and agent workflows using your chosen integration tools
Lead sourcing
Access to aged leads, cold data, and inbound funnels targeted for the LegalShield offer
Agent training
LegalShield-specific call scripts, objection handling frameworks, and agent certification
Client dashboard
Access to the Signapipe portal for real-time performance metrics, pipeline tracking, and reporting
Ongoing optimization
Weekly performance reviews, script updates, lead source adjustments, and support from your account manager

The specific services included in your engagement are determined by your selected plan (Starter, Growth, or Revenue Engine). Signapipe reserves the right to modify, update, or discontinue features of the Services with reasonable notice.

03 โ€” Eligibility
Who can use Signapipe

To use our Services, you must meet all of the following requirements:

  • You must be at least 18 years of age
  • You must be an active, independent LegalShield associate in good standing
  • You must have the legal capacity to enter into a binding agreement
  • Your use of our Services must comply with all applicable federal, state, and local laws
  • You must not be prohibited from receiving services under the laws of your jurisdiction

Signapipe is not affiliated with, endorsed by, or acting as an agent of LegalShield or its parent company. We are an independent service provider. You remain solely responsible for your compliance with LegalShield’s policies, procedures, and associate agreement.

04 โ€” Fees & Payment
Pricing, billing, and refunds

Access to Signapipe Services requires payment of the applicable fees for your selected plan. All fees are stated in U.S. dollars.

Setup fee
A one-time fee due at the time of purchase before onboarding begins. Non-refundable once onboarding has commenced.
Monthly subscription
Billed on a recurring monthly basis on the same day each month. Covers ongoing access, support, and optimization.
Lead budget
Billed separately from your subscription. Lead budget funds are used to purchase leads on your behalf and are non-refundable once leads have been sourced.
Failed payments
If a payment fails, we will attempt to retry within 3 business days. Access may be suspended if payment is not resolved within 7 days.
Cancellation
You may cancel your monthly subscription at any time. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.

Refund policy: Setup fees are non-refundable once onboarding activities have begun. Monthly subscription fees are non-refundable for the current billing period. If you believe a charge was made in error, contact us within 14 days at hello@signapipe.com.

05 โ€” Client Responsibilities
Your obligations when using Signapipe

As a Signapipe client, you agree to the following responsibilities:

  • Provide accurate and complete information during onboarding and throughout your engagement
  • Comply with all applicable laws governing outbound calling, SMS marketing, and email marketing in your jurisdiction, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable state regulations
  • Ensure your agents and team members use Signapipe’s tools and scripts in compliance with LegalShield’s associate policies
  • Not use our Services to engage in deceptive, fraudulent, or misleading marketing practices
  • Maintain the confidentiality of your dashboard login credentials and notify us immediately of any unauthorized access
  • Not share, resell, or sublicense access to the Signapipe dashboard or any of our proprietary materials without written permission
  • Respond to communications from your Signapipe account manager in a timely manner to enable effective service delivery

Compliance note: Signapipe provides infrastructure and training tools. You are solely responsible for ensuring that your outreach activities โ€” including calls, texts, and emails โ€” comply with all applicable laws. Signapipe is not liable for any regulatory violations arising from your use of our services.

06 โ€” No Results Guarantee
Results and performance disclaimer

Signapipe provides infrastructure, tools, training, and support designed to help LegalShield associates grow their enrollment numbers. However, we do not and cannot guarantee specific enrollment results, revenue outcomes, or business performance.

Results depend on many factors outside of our control, including but not limited to:

  • The quality and engagement level of your agent team
  • Market conditions and lead quality in your geographic area
  • Your personal follow-through and business management practices
  • LegalShield’s product pricing, policies, and availability in your market
  • Economic conditions and consumer demand

Any case studies, testimonials, or performance examples shared on our website represent individual client results and are not a guarantee of similar outcomes for you.

07 โ€” Intellectual Property
Ownership of content and materials

All content, materials, systems, and tools provided by Signapipe โ€” including but not limited to call scripts, training materials, dashboard interfaces, optimization frameworks, and proprietary methodologies โ€” are the intellectual property of Signapipe LLC and are protected by applicable copyright, trademark, and trade secret laws.

License granted
We grant you a limited, non-exclusive, non-transferable license to use Signapipe’s materials solely for your own LegalShield business during the term of your subscription
Restrictions
You may not copy, distribute, resell, modify, or create derivative works from any Signapipe materials without our prior written consent
Your content
You retain ownership of data you input into the dashboard. By using our Services, you grant Signapipe a limited license to process your data solely to provide the Services
Termination
Upon termination of your subscription, your license to use Signapipe materials ends immediately
08 โ€” Confidentiality
Confidential information

In the course of your engagement, both parties may have access to confidential information. Each party agrees to:

  • Keep confidential information private and not disclose it to any third party without prior written consent
  • Use confidential information only for the purpose of fulfilling obligations under these Terms
  • Take reasonable steps to protect the other party’s confidential information from unauthorized disclosure

Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of your subscription for a period of 2 years.

09 โ€” Third-Party Integrations
Tools and platforms we integrate with

Signapipe’s Services involve integration with third-party platforms including Zoho CRM, RingCentral, TXT180, and Constant Contact. Your use of these platforms is subject to their own terms of service and privacy policies.

Signapipe is not responsible for:

  • Outages, errors, or service interruptions caused by third-party platforms
  • Changes to third-party platform features, pricing, or availability
  • Data handling practices of third-party platforms beyond the scope of our integration
  • Any costs associated with third-party platform subscriptions required to use our Services

Clients are responsible for maintaining active accounts and meeting any minimum requirements for third-party platforms used in their Signapipe setup.

10 โ€” Limitation of Liability
Our liability to you

Important: Please read this section carefully as it limits Signapipe’s liability to you.

To the maximum extent permitted by applicable law, Signapipe’s total liability to you for any claim arising out of or relating to these Terms or our Services shall not exceed the total fees paid by you to Signapipe in the 3 months immediately preceding the event giving rise to the claim.

Signapipe shall not be liable for any:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from your failure to comply with LegalShield’s policies
  • Damages resulting from third-party platform outages or failures
  • Damages arising from your non-compliance with applicable laws

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11 โ€” Termination
Ending your subscription
By you
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain dashboard access until then.
By Signapipe
We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or fail to resolve a failed payment within 7 days.
Effect of termination
Upon termination, your access to the dashboard and all Signapipe materials ends. Your data will be retained per our Privacy Policy and deleted thereafter.
Survival
Sections on intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination of these Terms.
12 โ€” Dispute Resolution
How disputes are handled

We prefer to resolve disputes informally. If you have a concern, please contact us first at hello@signapipe.com and we will make a good-faith effort to resolve it within 30 days.

If a dispute cannot be resolved informally, both parties agree to the following:

  • Governing law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles
  • Jurisdiction: Any legal proceedings shall be brought exclusively in the state or federal courts located in California
  • Waiver of class action: You agree to resolve disputes with Signapipe on an individual basis only, and waive any right to bring or participate in a class action lawsuit
13 โ€” General Provisions
Miscellaneous terms
Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Signapipe and supersede all prior agreements
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect
No waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision
Assignment
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights without restriction.
Force majeure
Signapipe is not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, outages, or government actions
